1. Acceptance of Terms

By registering, subscribing, or using the Software, you ("Licensee" or "User") agree to these Terms & Conditions and the Software License Agreement incorporated herein by reference. If you do not agree, do not access or use the Software.

2. Eligibility

You represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. By subscribing, you confirm that you are not a financial institution and that your use of the Software is for informational and analytical purposes only.

3. Description of Service

Zenith AIndex is a SaaS platform providing market analysis, trend predictions, and statistical data. It does not constitute financial advice, investment recommendation, or solicitation.

4. Registration & Account

• You must register with accurate and complete information.
• You are responsible for keeping your username and password confidential.
• Any access via your credentials is deemed authorized by you.

5. Fees & Payment

• Subscription fees are as specified on the website.
• Payments must be made in advance via approved online payment methods.
• Fees are non-refundable, except for the right of withdrawal as per the Software License Agreement.

6. Right of Withdrawal

• You may withdraw within 7 days of subscription only if the Software has not been activated beyond trial functionalities, as described in the Software License Agreement.
• After activation or operational use, no refund is allowed.

7. Use Restrictions

• The Software is licensed, not sold.
• You may not copy, reverse engineer, modify, sublicense, or distribute the Software.
• Simultaneous use of the same credentials on multiple devices may cause automatic disconnection.

8. Service Level & Support

• Support is email only at info@zenithlabs.ae.
• Provided on a best-effort basis, no guaranteed resolution times or uptime.
• The Licensor is not responsible for interruptions caused by third parties, network providers, or force majeure.

9. Intellectual Property

All content, algorithms, methods, and code are the exclusive property of ZenithLabs LLC. Unauthorized use may result in liquidated damages of USD 100,000, without prejudice to further claims.

10. Limitation of Liability

• The Software is provided "as-is" for analytical purposes only.
• The Licensor is not responsible for indirect, consequential, or financial losses.
• Any compensation is limited to the value of days of actual downtime.

11. Governing Law & Dispute Resolution

• Governed by laws of the United Arab Emirates.
• Any disputes resolved via ICC Arbitration, Dubai, English language.

12. Entire Agreement

This document and the Software License Agreement constitute the entire agreement between the parties. Modifications must be written and acknowledged electronically.

1. License Grant

Subject to the terms of this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, time-limited license to access and use the software named "Zenith AIndex" ("Software"), a SaaS platform based on proprietary algorithms and statistical matrices for market trend analysis.

2. Software Use and Risk

The Licensee acknowledges understanding the features and functionalities of the Software and accepts that its use is at Licensee's own risk, including operational and market risks.

3. Term

This Agreement has a minimum duration of six (6) months and a maximum duration of twelve (12) months, as selected by the Licensee at the time of payment. No automatic renewal applies.

4. Access and Credentials

• Access is provided through personal username and password credentials.
• The Licensor is not responsible for activation delays or service interruptions caused by force majeure or events beyond its control.

5. Right of Withdrawal

• The Licensee may withdraw within seven (7) days of subscription only if the Software has not been activated beyond trial functionalities, by written notice via email.
• Once the Software has been activated or operationally used, the right of withdrawal lapses, and no refund will be provided.
• As a digital software license, the Software shall not be considered defective if it operates according to its description and functionalities.

6. Security and Use Restrictions

• Access is protected by authentication credentials.
• Simultaneous access from multiple devices using the same credentials may result in automatic disconnection.
• All algorithms, methods, and procedures in the Software are proprietary.
• Copying, modifying, decompiling, reverse engineering, or unauthorized use is strictly prohibited.

7. Ownership and Assignment

• The Software is licensed, not sold.
• The Licensee may not assign or sublicense this Agreement without prior written consent from the Licensor.

8. Confidentiality

The Licensee shall keep all proprietary information confidential and may not modify, integrate, or merge the Software with other programs. Breach of this clause shall result in liquidated damages of USD 100,000, without prejudice to the Licensor's right to claim greater damages.

9. Fees and Payment

The Licensee shall pay the subscription fee indicated in the commercial offer based on the selected term (6 or 12 months), in advance via approved electronic payment methods.

10. Warranty

• The Licensor warrants that the Software substantially performs the operations described in Clause 1.
• This warranty does not cover defects caused by misuse, third-party systems, connectivity issues, or external infrastructure.

11. Updates and Maintenance

• Updates and enhancements may be provided at the Licensor's discretion, included in the subscription fee.
• Support is provided according to the SLA (Clause 12).

12. Service Level Agreement (SLA)

• Support is email-only at info@zenithlabs.ae.
• Provided on a best-effort basis, with no guaranteed response times or uptime.

The Licensor shall not be responsible for interruptions caused by network providers, data centers, third-party services, or force majeure. The SLA does not give the Licensee any automatic right to refunds, penalties, or damages.

13. Limitation of Liability

• The Software provides analytical and informational tools only and does not constitute financial advice or solicitation.
• Simulated or hypothetical results do not represent actual performance.
• Any use of the data for decision-making is at the Licensee's exclusive risk.
• The Licensor shall not be liable for indirect, consequential, or data loss damages.
• Any compensation for total unavailability of the service is limited to the economic value of the downtime.

14. Governing Law and Arbitration

• This Agreement is governed by the laws of the United Arab Emirates.
• Any disputes shall be resolved by ICC Arbitration, Dubai, in English.

15. Miscellaneous

• Any modifications must be in writing and electronically acknowledged by both parties.
• Clicking "I Accept" or completing the online subscription confirms that the Licensee has read, understood, and accepted all terms.
• This Agreement constitutes the entire agreement and supersedes all previous arrangements.
• Electronic acceptance has the same legal value as a handwritten signature.
